BYLAWS OF THE JEFFERSON PARK NEIGHBORHOOD ASSOCIATION

ARTICLE I. MEMBERSHIP

  1. The membership of this Association is open to all residents and property owners within the Jefferson Park Neighborhood boundaries and shall be composed of two categories; Voting Members and Associate Members.
    1. A Voting Member shall be a person who either resides or owns real property within the Jefferson Park Neighborhood, or a business, agency or organization who either rents or owns real property within the Jefferson Park Neighborhood. A Voting Member shall be entitled to one vote, providing that Member is current and in good standing at the Annual October meeting. However, each person who attends Jefferson Park Neighborhood meetings as a Voting Member, or as a representative of a business, agency or organization who is a Voting Member, shall have no more than one vote whether he is a Voting Member and/or represents one of more businesses, agencies, or organizations who are Voting Members.
    2. An Associate Member shall be a person, business, agency, or organization interested in the progress of this Neighborhood or of the Association, and shall not be accorded any voting rights.
  2. Dues will be determined by the Neighborhood Association. Charter membership dues for the formation of the Organization and the first election of officers shall be $2.00 for each Voting Member.
  3. Any membership, whether Voting or Associate, shall expire at the end of each fiscal year and shall not retain any privileges or voting rights thereafter. The fiscal year shall begin on October 1.

ARTICLE II. OFFICERS

  • The officers of this Association shall be residents of Jefferson Park and hold office for a term of one year or until their successors are elected. The term of office shall begin at the close of the Annual Meeting. The duties of the officers shall be as follows:
    1. The President shall call and preside at all meetings, shall act for and on behalf of the membership of the Association, shall appoint any special committees necessary for the operation of the business of the Association and shall act as the official spokesperson of the Association. The President shall implement the decisions of the Neighborhood Association.
    2. The Vice President shall, in absence of the President, assume all of the duties of that office.
    3. The Executive Vice President shall assist the President.
    4. The Secretary shall keep a permanent record of all the Jefferson Park Neighborhood Association and Advisory Board meeting minutes, and all legal documents and legal transactions of the Association. The Secretary shall transcribe the minutes of each meeting, and shall forward one copy to each member of the Advisory Board and to the President. Copies shall be forwarded as herein described within twenty-five (25) days of the respective meeting date.
    5. The Treasurer shall keep all receipts and a permanent record of all financial business of the Association. A current financial report shall be submitted at the Annual Meeting.
  • The Advisory Board shall be composed of six Voting Members, in addition to the officers, and shall be elected by the Voting membership and shall serve in guiding and advising the Association in all matters, consistent with the purposes defined in the Charter.
  • An Officer shall not hold more than two consecutive terms in any office, and no member shall hold more than one office at a time.
  • All records of the Officers are the property of the Association, and are open to inspection at any time by a Voting Member of the Association.
  • ARTICLE III. COMMITTEES

    1. Standing committees shall be: Membership Committee, Publicity Committee, Fund Raising Committee, and Program Committee. The duties of the Standing Committees shall include:
      1. The Membership Committee shall enroll members in the association and maintain all records of membership.
      2. The Publicity Committee shall develop and implement, upon approval by the President, all publicity campaigns.
      3. The Fund Raising Committee shall develop and implement such projects as will accrue to the benefit of the Association, including the seeking of aid from governmental and private resources.
      4. The Program Committee shall be responsible for setting up programs of interest to the Association membership, such as a presentation on the Neighborhood Watch Program.
    2. Standing Committee Chairpersons shall be appointed by the President of the Association within the first ten days of taking office.
    3. The President shall be an ex officio member of all committees, and shall appoint any special committees necessary for the operation of the Association.

    ARTICLE IV. MEETINGS

    1. Membership meetings shall be held on the Sunday preceding the second Tuesday of January, April, July and October at a time and place designated by the President. Additional meetings may be called at the discretion of the President.
      1. The Voting Members present shall constitute a quorum.
      2. At least ten (10) days notice shall be provided in advance of any regular meeting.
      3. The October membership meeting shall be the Annual Meeting. The purpose of this meeting shall be
        1. 1) the presentation of the annual reports of all the Officers, 2) the election of Officers, and 3) the installation of Offices elected.
        2. he Advisory Board shall meet at a time and place designated by the President, as often as necessary. Any five members of the Advisory Board may petition the President for a special meeting of the Board at any time.
        3. In the event that the officers of this association cannot or will not call a meeting, the General Membership shall be able to do so by submitting a petition bearing the signatures of at least 25 voting members.

    ARTICLE V. ANNUAL REPORTS, NOMINATION, ELECTIONS, AND INSTALLATION OF OFFICERS.

    1. Nomination of Officers and Advisory Board Members shall be held on the same day as nominations.
    2. Election of Officers and Advisory Board Members shall be held on the same day as nominations.
    3. The Advisory Board shall be composed of six Voting Members. If no Voting Member from any of the areas is willing to serve on the Advisory Board, then nominations for an election to fill that seat will be made at large.
    4. Upon installation of the Officers whose terms begin at the close of the Annual Meeting, all documents, records, and any materials pertaining to the duties of the office as designated in the Bylaws which are in the possession of the out-going officers shall be submitted to their newly-elected counterparts within fifteen (15) days of the installation.
    5. Any vacancies occurring during the year of any Officer or member of the Advisory Board shall be filled by appointment by the Neighborhood Association at the next regularly scheduled meeting.
    6. In the case of a leave of absence of an Officer, all documents pertaining to the Officer’s various Association functions shall be transferred to the person appointed to fill the office for the duration of the absence. The transfer shall occur within ten (10) calendar days of the Officer’s leave of absence being approved.
    7. Any member of the Advisory Board who is absent for three (3) consecutive meetings without reasonable excuse shall be automatically removed from the Board.

    ARTICLE VI. FISCAL RESPONSIBILITY

    1. Withdrawal of funds of the Association may not be made without the signatures of both the President and the Treasurer.
    2. Financial records and funds of the Association shall be audited at least once a year by a committee of at least two members of the Association, appointed by the President, before a new Treasurer takes office.
    3. If it becomes necessary for the Treasurer to relinquish that office, the records and funds of the Association shall be audited by a committee of at least two members of the Association, appointed by the President.

    ARTICLE VII. AMENDMENT OF THE BYLAWS

    1. These Bylaws may be amended in concurrence with or upon recommendation of the Neighborhood Association by a two-thirds (2/3) majority of the Voting Members present at a meeting called for that purpose.
